4. TERMS OF PAYMENT: xxx

− Right after the contract signed, THE BUYER will advance THE SELLER 50% of the contract value approximately to the amount: xxx USD

− Time for paying the remaining amount: When the products are shipped by THE SELLER to shift to the location appointed by THE BUYER, THE BUYER must pay the remaining amount for THE SELLER. In details as follow:
− The products will be moved onto the ship by THE SELLER. THE SELLER scans the original documents and sends a soft copy to THE BUYER via email and a hard copy (photocopy) through the ship.
− After THE BUYER pays the remaining amount for THE SELLER, THE SELLER will submit all the original documents to THE BUYER.

5. TESTING BEFORE DELIVERY:

THE BUYER’s representative tests and confirms the products’ quality in writing before THE SELLER packs and moves the products onto the ship.

6. INSURANCE:

− The goods must be insured by an Insurance Company which is legally established and affords to insure all risks of the goods.
− Any costs of buying insurance will be paid by THE SELLER.

7. SHIP RENT:

THE SELLER undertakes to sign the ship-renting contract with a reputable ship-owner, and the rented ship must meet the international shipment standards by the sea. It must be clearly shown freight prepaid in the ship-renting contract, the ship-owner (freighter) must takes all responsibilities on the products right after they are loaded through the ship’s balustrade.

8. ARBITRATOR:

Any disputes, disagreements and complaints arisen related to this contract or contract break which THE BUYER and THE SELLER cannot conciliate or negotiate, the case will be finally transferred to the Court at the place where THE SELLER’s head office is located and it is confirmed in writing.

9. DELIVERY CONDITION:

− Time of delivery, and shipment: Padded and tamping things are supplied and paid fees by THE SELLER or the ship-owner.
− The testing of parcels at port is implemented and paid fee by THE SELLER, the testing of parcels in the ship is implemented and paid fee by THE BUYER.
− Any taxes at the port must be paid by THE SELLER.
− All other terms will follow the ship-renting contract.

10. CONTRACT DISSOLUTION:

Either THE SELLER or THE BUYER is not allowed to dissolute or defer the entire or partial contract implementation if there are not any agreements in writing of the other party, and with the conditions that the party requesting to dissolute the contract must spend a suitable duration for the partner to overcome all difficulties related to not implement the contract. In case of after that duration, the broken party cannot complete their responsibilities, the requesting party has a right to announce the contract dissolution in writing.

11. APPLIED TERMS:

This contract will be strictly complied with the Law of Socialist Republic of Vietnam.

12. Force majeure:

This contract will apply force majeure in Article 01 of version no. 412 issued by International Commerce Bureau.

13. TESTING TERMS:

The testing & monitoring in the factory, warehouse about quality, weight, quantity, packing situation of the product xxx are managed by the deputy of THE BUYER, testing fee will be paid by THE SELLER.

14. OTHER TERMS:
